Terms of Service

1. Acceptance of Terms

By accessing zealreach.com or the ZealReach application, you confirm that you can form a binding contract with ZealReach, that you accept these Terms, and that you agree to comply with them. If you're using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

ZealReach is an AI-powered social media and advertising management platform. Depending on your plan and the accounts you connect, the Service may let you generate social and ad content with AI, publish and schedule posts, manage advertising campaigns on connected ad accounts, view analytics, monitor competitors, and capture leads/contacts. Features are added, changed, or removed over time as the product evolves, including during the beta period described below.

3. Beta Program Terms

ZealReach is currently offered as a free beta. While the beta is active:

• No cost: beta access is free — no credit card or payment of any kind is required.
• No fixed end date: the beta does not currently have a fixed expiration. If we decide to end it, we will provide advance notice before your access changes.
• Transition to paid plans: when paid plans launch, beta members will be offered early-access pricing before being asked to pay; you will not be switched to a paid plan or charged without clear advance notice and an opportunity to decide.
• Beta software: beta features may be incomplete, may change without notice, and may contain bugs. We may limit, throttle, or discontinue individual features during the beta as we learn from usage.
• Feedback: if you provide feedback or suggestions about the Service, you agree we may use that feedback without any obligation to you.

4. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized use of your account.

5. Connected Third-Party Accounts

The Service lets you connect third-party accounts (such as Meta/Facebook, Instagram, LinkedIn, TikTok, X, Pinterest, and Google Ads) via OAuth so we can act on your behalf — for example, publishing a post or reading campaign performance. By connecting an account, you represent that you're authorized to grant us that access, and you remain responsible for complying with each connected platform's own terms of service and advertising policies. We are not responsible for actions taken by those platforms (such as suspending an ad account or rejecting content) that are outside our control. You can disconnect any account at any time; see our Privacy Policy for how we handle data from connected accounts.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or the terms of any connected third-party platform;
• Publish content that is unlawful, fraudulent, defamatory, infringing, or that violates someone else's intellectual property or privacy rights;
• Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure;
• Interfere with or disrupt the integrity or performance of the Service;
• Use the Service to send spam or unsolicited communications;
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it.

We may suspend or terminate accounts that violate this section.

7. AI-Generated Content

The Service uses artificial intelligence to help generate social posts, ad copy, hashtags, and insights based on inputs you provide. AI-generated content and recommendations are provided as a starting point, may not always be accurate, complete, or suitable for your intended use, and are not guaranteed to produce any particular business outcome (such as engagement, leads, or return on ad spend). You are responsible for reviewing any AI-generated content before publishing it, and for ensuring it complies with applicable law, platform policies, and your own brand standards.

8. Intellectual Property

ZealReach and its licensors own all rights, title, and interest in the Service itself (software, design, branding, and underlying technology). We don't claim ownership of the content, product information, or data you upload or generate through the Service ("Your Content") — you retain your rights to it. By using the Service, you grant us a limited license to host, process, and transmit Your Content solely as needed to provide the Service to you (for example, publishing a post you've created to a platform you've connected).

9. Fees & Payment

The Service is free during the beta period described in Section 3. When paid plans are introduced, applicable fees, billing frequency, and payment terms will be presented to you before you're charged, and will be governed by an updated version of these Terms or a separate order form/subscription agreement, as applicable. Payment processing will be handled by a third-party payment processor or Merchant of Record; you agree to their terms as a condition of making a payment.

10. Third-Party Services

The Service integrates with third-party platforms (including Meta, Google, TikTok, LinkedIn, X, Pinterest, and our AI, email, and payment providers) that we don't control. We're not responsible for the availability, accuracy, or practices of those third parties, or for changes they make to their APIs, policies, or terms that affect how the Service works.

11. Termination

You may stop using the Service and request account deletion at any time by contacting us. We may suspend or terminate your access if you violate these Terms, if required by law, or — for the beta program specifically — with the advance notice described in Section 3. Sections that by their nature should survive termination (including Sections 8, 12, 13, 14, and 15) will survive.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE OR FIT FOR YOUR PARTICULAR PURPOSE. THIS IS ESPECIALLY TRUE DURING THE BETA PERIOD, WHEN FEATURES MAY BE INCOMPLETE OR CHANGE WITHOUT NOTICE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEALREACH AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE — INCLUDING ANY ACTION TAKEN ON A CONNECTED THIRD-PARTY ACCOUNT OR ANY RELIANCE ON AI-GENERATED CONTENT — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) 100 USD — WHICH, DURING THE FREE BETA, WILL BE (B).

14. Indemnification

You agree to indemnify and hold ZealReach harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party platform's terms in connection with an account you've connected.

15. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in India, except where applicable law requires otherwise.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Effective Date" above and, where appropriate, notify you by email or through the Service. Continuing to use the Service after a change takes effect constitutes acceptance of the updated Terms.
